After you invest and become a shareholder in BrewDog USA Inc., you entitle yourself to a lifetime discount in all BrewDog bars and BottleDogs and a 20% lifetime discount on the BrewDog USA shop. The discount can be claimed with your shareholder ID card that you will receive from BrewDog. You’ll be able to use your shareholder ID card once your shares have been issued to you.

At BankRoll, we are only involved with BrewDog USA, Inc. Your shares in BrewDog plc, the UK company, will not be displayed on your BankRoll dashboard. However, BrewDog’s website is set up to clearly display the number of shares you hold in both BrewDog PLC and BrewDog USA, Inc.

While selling your shares is allowed after BrewDog closes the offering, you will have to find a purchaser as BrewDog’s stock will not be listed on any exchange. Eventually, BrewDog’s goal is to have the shares publicly listed and tradable on an exchange, but that may not happen for some time.

BrewDog is working on a solution for gifting shares at the moment and hoping to have this sorted as soon as possible. As it looks today BrewDog can’t accept gift applications just now as the name in which the shares are held must be the same name on the bank account that pays for it.

As soon as BrewDog has a solution, they will inform you of its availability.

BrewDog’s Equity for Punks USA offer is being made under “Regulation A+” which is Title IV of the JOBS Act. BrewDog’s offering had to be submitted to the Securities and Exchange Commission and qualified by them before they could offer any shares for sale. Equity for Punks USA is regulated by federal and state securities laws. The legal work in preparing the offering circular and the offering itself was carried out by attorney Kendall Almerico and his law firm DiMuroGinsberg. The audit of BrewDog USA Inc.’s financial records was carried out by Ernst & Young, and these records are the basis for the financial information contained in the offering circular.

Eventually, that is BrewDog’s goal. But for now, the shares are not publicly traded on any exchange.

BrewDog started with a total of 1,052,632 shares to sell. The number available goes down every time a new Equity Punk invests. When the shares run out, there are no more for sale in this offering.

BrewDog is planning on launching a number of craft beer brew pubs and bars across the United States. Initially, their sights are set on Columbus, Ohio – we’ve they have secured a location in Franklinton – but they will also be looking at where they see hubs of investment from new Equity Punks, and bump any interesting regions up their list.
